How Remote Registration Works
The process is the same regardless of which country you are in. Here is the overview:
Step 1: Choose Your Entity Type
Two options dominate diaspora registrations:
- Private Limited Company (Pvt Ltd) — Best if you have a trusted person in Zimbabwe who can serve as resident director. Offers limited liability and credibility with banks and government.
- Private Business Corporation (PBC) — Best for solo founders. No resident director needed. Simpler structure, lower cost, but limited to 20 members.
Step 2: Appoint a Local Registration Agent
Your agent in Zimbabwe handles everything on the ground: name search (CR21), document drafting, submission to the Companies Registry, collection of your Certificate of Incorporation (CR2), and provision of a registered office address.
Step 3: Prepare and Sign Documents
Your agent sends you documents to sign. You sign them before a Notary Public or Commissioner of Oaths in your country, then courier or scan the signed documents back to Zimbabwe.
Required documents:
- Signed Memorandum and Articles of Association
- Signed CR14 form (director consent)
- Notarised passport copy
- Proof of overseas address
- Power of Attorney authorising your agent
Step 4: Notarisation and Apostille
Documents signed outside Zimbabwe must be notarised. If your country is a member of the Hague Apostille Convention, they must also be apostilled. If not, they should be legalised by the Zimbabwean embassy in your country.
See country-specific guides above for exact notarisation options and costs in your location.
Step 5: Agent Submits and You Receive Your Certificate
Your agent submits the complete pack, pays government fees, and tracks your application. You receive your Certificate of Incorporation within 2-4 weeks of document submission.
Step 6: Post-Registration
Your agent can also handle:
- ZIMRA tax registration (TIN number)
- Corporate bank account opening (power of attorney or remote banking where available)
- NSSA registration (if employing staff)
- Business licence from local council
- Ongoing company secretarial services
Power of Attorney — The Key Document
A General Power of Attorney is the single most important document for diaspora registration. It legally authorises your agent to act on your behalf with the Companies Registry. Your POA should:
- Name the agent and specify the scope (company registration activities only)
- Include an expiry date (typically 90 days)
- Be signed before a Notary Public
- Be apostilled or legalised for use in Zimbabwe
Costs for Diaspora Registration
| Item | Estimated Cost (USD) |
|---|---|
| Government registration fees (Pvt Ltd) | $100 – $200 |
| Government registration fees (PBC) | $70 – $140 |
| Professional agent fee (includes document prep, registered office, submission) | $200 – $600 |
| Notarisation in your country | $20 – $100 |
| Apostille (where required) | $10 – $50 |
| International courier (DHL/FedEx) | $30 – $80 |
| Total estimate | $430 – $1,070 |

What is the cheapest way to register a Zimbabwe company from abroad?
A Private Business Corporation (PBC) is the most affordable option, costing USD 70-140 in government fees plus agent fees. PBCs have no resident director requirement.

No. Both Zimbabwean citizens and foreign nationals can register using a valid passport. You need a notarised passport copy and proof of overseas address.
