How Remote Registration Works

The process is the same regardless of which country you are in. Here is the overview:

Step 1: Choose Your Entity Type

Two options dominate diaspora registrations:

  • Private Limited Company (Pvt Ltd) — Best if you have a trusted person in Zimbabwe who can serve as resident director. Offers limited liability and credibility with banks and government.
  • Private Business Corporation (PBC) — Best for solo founders. No resident director needed. Simpler structure, lower cost, but limited to 20 members.
Reserved Sectors: Under S.I. 215 of 2025, certain sectors are reserved for Zimbabwean citizens only, including passenger transport, barbershops, hairdressing, bakeries, and employment agencies. Foreign nationals cannot register businesses in these sectors. See the foreign investment rules.

Step 2: Appoint a Local Registration Agent

Your agent in Zimbabwe handles everything on the ground: name search (CR21), document drafting, submission to the Companies Registry, collection of your Certificate of Incorporation (CR2), and provision of a registered office address.

Step 3: Prepare and Sign Documents

Your agent sends you documents to sign. You sign them before a Notary Public or Commissioner of Oaths in your country, then courier or scan the signed documents back to Zimbabwe.

Required documents:

Step 4: Notarisation and Apostille

Documents signed outside Zimbabwe must be notarised. If your country is a member of the Hague Apostille Convention, they must also be apostilled. If not, they should be legalised by the Zimbabwean embassy in your country.

See country-specific guides above for exact notarisation options and costs in your location.

Step 5: Agent Submits and You Receive Your Certificate

Your agent submits the complete pack, pays government fees, and tracks your application. You receive your Certificate of Incorporation within 2-4 weeks of document submission.

Step 6: Post-Registration

Your agent can also handle:

Power of Attorney — The Key Document

A General Power of Attorney is the single most important document for diaspora registration. It legally authorises your agent to act on your behalf with the Companies Registry. Your POA should:

  • Name the agent and specify the scope (company registration activities only)
  • Include an expiry date (typically 90 days)
  • Be signed before a Notary Public
  • Be apostilled or legalised for use in Zimbabwe
Protect yourself: Never grant broad powers of attorney. Limit authority to company registration and exclude bank accounts, property transactions, and contracts. Use a separate, limited POA for bank account opening if needed.

Costs for Diaspora Registration

ItemEstimated Cost (USD)
Government registration fees (Pvt Ltd)$100 – $200
Government registration fees (PBC)$70 – $140
Professional agent fee (includes document prep, registered office, submission)$200 – $600
Notarisation in your country$20 – $100
Apostille (where required)$10 – $50
International courier (DHL/FedEx)$30 – $80

ZIDA Investment Pathway

If you are investing significant capital (typically USD 100,000+), you should also register with the Zimbabwe Investment and Development Agency (ZIDA). ZIDA offers:

  • Investment licences and facilitation
  • Tax incentives for qualifying investments
  • Special Economic Zone (SEZ) benefits — including a preferential 15% corporate tax rate
  • One-stop-shop for all regulatory approvals
  • Online DIY investor portal launched February 2024

See the foreign investment rules for full details on ZIDA registration.

Why Register a Zimbabwe Company from Abroad?

  • Property investment: A registered company can purchase and hold land and property in Zimbabwe
  • Remittance efficiency: Corporate bank accounts allow more efficient transfer of funds than personal channels
  • Government tenders: Many contracts require a locally registered entity
  • Agriculture and mining: Zimbabwe offers significant opportunities in farming, mining, and natural resources
  • Technology and services: Growing demand for IT, consulting, and professional services
  • Family business: Formalise existing operations managed by family members in Zimbabwe
  • BPO/KPO incentives: New 2026 SEZ framework offers 15% corporate tax and customs duty suspension for qualifying operations

Re-Registration Deadline: 20 April 2026

URGENT: If you already have a company registered under the old paper-based system, it must be re-registered on the electronic registry by 20 April 2026 under S.I. 108 of 2025. Failure to re-register means automatic deregistration — your company ceases to exist in law. Diaspora company owners should contact their agent immediately to confirm re-registration status.

Frequently Asked Questions

Can I register a Zimbabwe company without visiting the country?

Yes. The entire process can be completed remotely via a local registration agent and power of attorney. You sign and notarise documents in your country and courier them to Zimbabwe.

What is the cheapest way to register a Zimbabwe company from abroad?

A Private Business Corporation (PBC) is the most affordable option, costing USD 70-140 in government fees plus agent fees. PBCs have no resident director requirement.

Do I need a Zimbabwean ID to register a company?

No. Both Zimbabwean citizens and foreign nationals can register using a valid passport. You need a notarised passport copy and proof of overseas address.

Yes, in most sectors. However, S.I. 215 of 2025 reserves certain sectors for citizens only (transport, hairdressing, bakeries, etc.). See our foreign investment rules page.

How long does remote company registration take?

2-4 weeks for the registry process, plus 1-2 weeks for document preparation and courier. Total: 3-6 weeks.

What currency do I pay registration fees in?

Government fees are payable in USD or ZiG (Zimbabwe Gold). Agents typically quote in USD for diaspora clients. Payment via bank transfer, Western Union, or Mukuru.

Do I need a local director in Zimbabwe?

For a Pvt Ltd, yes — at least one director must be ordinarily resident in Zimbabwe. A PBC has no residency requirement for members.
