What Is the CR14 Form?

The CR14 form is the statutory form prescribed under the Companies and Other Business Entities Act [Chapter 24:31] for notifying the Registrar of Companies of the particulars of directors and the company secretary. It serves as the official record of who controls and manages the company.

The CR14 is one of the core documents in the company registration pack and must be filed both at initial registration and whenever there are subsequent changes to the company’s officers.

Important: Failure to file a CR14 within the prescribed 14-day period is an offence under the Act. The company and its officers may be liable to a penalty.

Information Required on the CR14

For each director and the company secretary, the CR14 requires:

  • Full name (first name, surname, and any middle names)
  • Former names (maiden name, previous names if legally changed)
  • Date of birth
  • Nationality
  • National ID number (or passport number for non-Zimbabwean residents)
  • Residential address (physical address, not a PO Box)
  • Postal address
  • Occupation (current profession or business)
  • Date of appointment to the position
  • Other directorships held (if any)
  • Consent signature — each person must sign to confirm they consent to the appointment and that the details are correct

How to Complete the CR14

Section A: Company Details

Enter the company name (exactly as approved in the name search) and the company registration number (if already registered — leave blank for initial registration).

Section B: Director Particulars

Complete one entry for each director. For a Pvt Ltd, you need at least 2 directors. Each director must personally sign their section.

Section C: Secretary Particulars

Complete the secretary’s details in the same format as the directors. The secretary must also sign. Note: the company secretary cannot be the sole director of the company.

Section D: Declaration

The form must be signed by a director or the company secretary, declaring that the information is correct. For initial registration, one of the subscribers (shareholders) signs.

Tip: Ensure all names on the CR14 match the names on the national IDs or passports exactly. Discrepancies (e.g., missing middle name, different spelling) will cause the Registry to reject the form.

Common Reasons for CR14 Rejection

  • Name mismatch: Names on the form do not match the ID documents
  • Missing signatures: Not all directors/secretary have signed
  • Incomplete information: Fields left blank (especially date of birth, ID number)
  • Disqualified person: A listed director is an undischarged bankrupt or has been disqualified
  • No resident director: For Pvt Ltd companies, at least one director must be resident in Zimbabwe
  • Secretary is sole director: The same person cannot be both the only director and the secretary

Changing Directors After Registration

When a company appoints a new director, removes or replaces a director, or changes the secretary, a new CR14 must be filed within 14 days. The process:

  1. Pass a board resolution approving the change
  2. Complete a new CR14 form showing the current officers (including the change)
  3. Attach a copy of the board resolution
  4. Submit to the Companies Registry with the applicable filing fee (included in our service)
