A Private Limited Company (PLC) can have up to 50 shareholders, offers limited liability, and is the most recognised business structure for attracting investors. A Private Business Corporation (PBC) is a simpler structure for one or two people, with less paperwork and lower costs, but it cannot issue shares. Yes. After company registration, you must register with the Zimbabwe Revenue Authority (ZIMRA) to obtain a Taxpayer Identification Number (TIN) and BP number. This is required before you can open a business bank account, issue tax invoices, or trade legally. If your annual turnover exceeds $25,000, you must also register for VAT. A Tax Clearance Certificate is issued by ZIMRA once your tax affairs are in order. You need to be registered, have filed all outstanding returns, and have no overdue tax payments. Yes. Foreigners can register companies in Zimbabwe, but there are additional requirements. Under the Indigenisation and Economic Empowerment Act, certain sectors require at least 51% local ownership. However, many sectors are fully open to foreign investment. You will need to register a foreign company or set up a local subsidiary. A foreign investment licence may also be required.

Yes. Every Private Limited Company registered in Zimbabwe is required by law to appoint a company secretary within 40 days of incorporation. The secretary is responsible for filing annual returns, maintaining statutory records, and ensuring compliance with the Companies Act. After registration, you will need: your Certificate of Incorporation, CR14, Memorandum and Articles of Association, company resolution authorising the account opening, directors' IDs, proof of address, and your ZIMRA TIN. Every registered company must: file annual returns with the Registrar of Companies (CR6 form), file annual tax returns with ZIMRA, maintain a registered office and company secretary, keep proper accounting records, and file VAT returns (if VAT registered). A company name reservation with the Registrar of Companies is valid for 30 days. If you do not complete the registration within that period, the name is released and may be taken by someone else. NSSA is the National Social Security Authority. Every employer in Zimbabwe is required to register with NSSA and make monthly contributions for each employee.
